These Terms & Conditions govern your use of Villum Partners' services and website. By engaging our services or using our website, you agree to these terms.

1. Services

Villum Partners provides brand transformation consulting services, including positioning strategy, brand messaging frameworks, visual direction, and implementation roadmaps. The specific scope of work, deliverables, timeline, and fees will be outlined in a separate project agreement or statement of work.

2. Engagement Process

Services begin after:

• Initial discovery call to assess fit and scope

• Signed project agreement

• Receipt of initial payment (typically 50% deposit)

3. Payment Terms

• Payment structure: 50% deposit upon agreement signing, 50% upon delivery of final deliverables

• Payment due within 14 days of invoice date

• Accepted payment methods: bank transfer, credit card

• Late payments may incur a 5% monthly interest charge

• All fees are quoted in EUR and exclude applicable taxes

4. Project Timeline

Standard engagement: 6 weeks from project kickoff to final delivery. Timeline may be adjusted based on:

• Client availability for interviews and feedback sessions

• Scope changes requested by client

• Delays in client-provided information or materials

5. Client Responsibilities

Clients agree to:

• Provide timely access to necessary business information and key stakeholders

• Respond to questions and feedback requests within agreed timeframes

• Participate in scheduled discovery and strategy sessions

6. Deliverables & Ownership

Upon full payment:

• Client receives full ownership of all strategic deliverables, frameworks, and implementation roadmaps

• Villum Partners retains the right to use project as a case study (with client approval)

• Any third-party assets, fonts, or stock imagery recommended are subject to separate licensing

7. Revisions & Scope Changes

• Two rounds of revisions included in standard engagement

• Additional revisions or scope changes beyond original agreement will be quoted separately

• Significant scope changes may require contract amendment and additional fees

8. Cancellation & Refunds

• Client may cancel engagement with 7 days written notice

• Cancellation refund policy:

  • Before project kickoff: Full refund minus 10% administrative fee

  • After kickoff but before strategy delivery: 50% refund

  • After strategy delivery: No refund

• Villum Partners reserves the right to terminate engagement if client fails to meet payment obligations or responsibilities

9. Confidentiality

Both parties agree to:

• Maintain confidentiality of proprietary business information shared during engagement

• Not disclose sensitive strategic work to third parties without written consent

• Exception: Villum Partners may share anonymized insights or frameworks for educational purposes

10. Limitation of Liability

Villum Partners provides strategic consulting services but cannot guarantee specific business results. Our liability is limited to the total fees paid for services rendered. We are not liable for:

• Business decisions made based on our recommendations

• Implementation executed by third parties

• Market changes or competitive actions beyond our control

11. Intellectual Property

• Strategic frameworks and methodologies remain Villum Partners' intellectual property

• Client-specific applications and deliverables belong to client upon full payment

• Neither party may use the other's trademarks or brand assets without written permission

12. Dispute Resolution

Any disputes will be resolved through:

1. Good faith negotiation between parties

2. Mediation if negotiation fails

3. Jurisdiction: Courts of Barcelona, Spain

4. Governing law: Spanish law

13. Website Use

By using villumpartners.com, you agree to:

• Use the site lawfully and not for any fraudulent purpose

• Not attempt to gain unauthorized access to our systems

• Accept that we may modify or discontinue website features without notice
